Define what the company needs to do
Begin with the activity rather than a popular state: what do you sell, who buys it, where is the work performed, and will there be employees, inventory or partners? Keep those answers in a short brief. A US entity is an organisational decision that needs a workable operating plan; it does not guarantee customers or payment acceptance.
Compare an LLC and a corporation against ownership, management and expected financing, then discuss ongoing accounting requirements with an appropriate adviser. Avoid choosing a structure simply because it appears in every online checklist. If investors are anticipated, decide how ownership, decision rights and a founder's departure will be documented before submitting the formation paperwork.
Choose a state around actual operations
Include the real operating location in the comparison, rather than focusing only on the initial filing charge. An office, employees or inventory elsewhere can raise additional registration and licensing questions. Distinguish the registered agent's address, a correspondence address and the place where work happens. A mail service is not evidence that the business operates from an office there.
Check name availability, agent arrangements and the required documents on the state's official portal. Prepare alternative names and consistent management information before paying. The SBA launch guide provides a useful registration starting point; follow it with the actual state authority's instructions and a checklist specific to your proposed business activity and structure.
Organise legal records and tax identification
Once formation is accepted, retain the certificate, filed document, ownership records and management agreement in a clearly named folder. Write down who may sign contracts, approve payments and operate accounts, together with the decision process. Even a small project benefits from consistent records when the same information is requested by a bank, accountant or commercial partner.
Review the EIN application after the legal name and structure are settled, and avoid duplicate applications while waiting. An EIN identifies the business for IRS purposes; it is neither an operating licence nor banking approval. Our EIN guide explains the workflow. Keep both the application record and issuance notice so a change of software or adviser does not lose the reference.
Test the operating assumptions
Prepare a credible product description, website, sample contracts and expected invoicing before applying for financial services. Ask providers about eligibility for the owners' residence, activity and customer countries. Where payment collection is critical, maintain an appropriate alternative. Do not base the business budget on approval that has not been obtained or on an intermediary's promise of acceptance.
List fixed and variable expenses, including the agent, accounting, renewals, software and transfers, alongside the cost of starting sales. Examine activity-specific permits rather than assuming the formation certificate covers everything. The IRS EIN overview addresses identification requirements, while operating permissions require their own review with the relevant authorities for your actual location and activity.
Create a post-formation calendar
Assign responsibility for official correspondence, bookkeeping and recurring deadlines, retaining evidence of each submission rather than only a payment receipt. Associate each date with its authority, required document and advance reminder. Keep personal spending separate, and record owner contributions and withdrawals clearly so an accountant can understand the transactions without reconstructing them from scattered messages or bank descriptions.
Before commissioning formation, assemble the business brief, owner information, proposed state and unresolved questions. Review our US company formation service or contact the team to organise the documents. Aim for a decision you understand, a defined budget and a follow-up process, then choose services that support that plan rather than beginning with a payment tool.
