UK company formation

Who this is for

A fit if you are

  • A founder outside the UK who needs a credible entity for multi-currency accounts and payment gateways such as Stripe and PayPal, subject to each platform's policy.
  • An online seller on Amazon marketplaces in the UK and Europe who needs a properly registered company.
  • A service provider or freelancer contracting with European clients who needs a UK company in their own name.

Not for

  • Anyone seeking UK residence or a visa through company formation alone: there is no automatic link between the two.
  • Anyone planning substantial physical trading inside the UK straight away, which needs a wider local accounting layer than this service.
  • Anyone wanting legal protection of a trade name: company registration does not protect a name as a trademark, which is a separate service.

Why a UK company?

Real advantages, with their conditions, no absolute promises.

The general VAT registration threshold is £90,000 of taxable UK sales in 12 months. A business that is not established in the UK (NETP) may have to register from its first taxable UK sale, so we review your case before you assume an exemption.

19% on profits up to £50,000 a year and 25% above £250,000, with marginal relief in between. A dormant company (no activity) pays no corporation tax and tells HMRC it is dormant.

A UK company can apply for GBP, USD and EUR accounts with licensed e-money institutions (such as Wise, Payoneer and Airwallex) and for payment gateways (Stripe and PayPal); each platform applies its own acceptance policy.

The UK does not require a local agent to represent the company; a UK registered office is enough, and every package includes one for a year.

You can register a .co.uk domain in your company's name with any registrar.

Seller accounts on marketplaces such as Amazon and eBay in the UK and Europe are open to a UK company; each marketplace runs its own identity and activity checks.

Company registration only reserves the name on the register. Protecting it as a brand means registering a trademark with the UKIPO, a separate service.

Forming a company grants no residence or visa by itself. Some visa routes have investment and legal conditions entirely separate from this service.

What we need from you

Everything is uploaded in the client dashboard and reviewed by a specialist before filing. We never accept identity documents over WhatsApp or email.

Always required

  1. A valid identity document for each director and shareholder: passport, residence card or driving licence.
  2. Proof of address in your country of residence, issued within the last three months: a utility bill or bank statement.
  3. The company name in English and the business activities (up to four).
  4. Details of directors and persons with significant control (PSC): name as in the passport, date of birth, nationality, home address.

Depending on your case

  • An additional shareholder or director: the same documents, with their identity verification charged separately.
  • Business packages: the expected activity for VAT registration, and the two trademark classes when the package includes a trademark.
  • A name containing a sensitive word (such as Royal or Bank): approval from the relevant body before filing; we explain the steps.

Frequently asked questions

Yes. Every package includes the Companies House fee and identity verification for the first person; verification for each additional partner or director is charged separately, as shown in the packages.

Since 18 November 2025 every director and person with significant control (PSC) must verify their identity with Companies House, either directly through GOV.UK One Login or through an authorised agent (ACSP) such as Exporya. We handle it within every package.

No. Registering the name only prevents an identical name being registered. Legal protection comes from a trademark registered with the UKIPO, a separate service.

It depends on where your business is actually established, not only on turnover. The general threshold is £90,000, but a non-established taxable person (NETP) may have to register from the first taxable UK sale. We review your case before you decide.

A confirmation statement and annual accounts to Companies House, a corporation tax return (CT600) to HMRC for every year with activity, and keeping accounting records. A dormant company files a return if it receives a notice to deliver; once HMRC is told it is dormant, no new return is due unless another notice arrives.

Yes, if it has no financial transactions. It still files the confirmation statement and dormant accounts with Companies House, and pays no corporation tax.

Yes. We file the closure application for you. We confirm the closure cost when you ask (contact us). Closure stops the bank accounts and payment gateways linked to the company.

Two kinds: e-money institutions licensed by the UK Financial Conduct Authority, such as Wise, which hold client money in regular banks; and financial platforms operating through an FDIC-insured partner bank in the US, such as Mercury. Both give you an account with an IBAN or routing number and a card, and each accepts clients under its own policy.

Yes. Most platforms (such as Wise, Payoneer and Mercury) issue a Visa or Mastercard under their own terms and ship it to your address.

Each platform has its own policy; accounts stay active as long as you follow its rules: a clear activity, up-to-date documents and transparency about the source of funds. We support the applications and do not guarantee the platforms' decisions.

Exporya's team, as a Companies House authorised agent, under the official verification rules; identity documents are uploaded in the client dashboard only. We keep verification records for seven years as the law requires.

If the company trades, we recommend an accountant for the accounts and the corporation tax return. A dormant company is far simpler, and we explain both options in the consultation.
