Who a Canadian company suits

A fit if

  • Your clients or partners are in Canada, or you want to contract with Canadian parties in a Canadian company's name.
  • You want a legal presence in North America through a Canadian entity.
  • A platform or counterparty explicitly requires a Canadian company.

Perhaps not if

  • Your only goal is a low tax rate: a Canadian corporation owned by non-residents is usually taxed at the general rate.
  • Your goal is residence or immigration: incorporation alone grants no right of residence.
  • You only need a payment gateway or an online bank account; we do not support account opening for Canadian companies at present, and the UK or the US may suit you better.

Incorporation in the province of Ontario only for now (no federal incorporation). It does not include accounting, the T2 return, filing the annual return, or opening bank or payment-platform accounts.

  5. Shareholder details and percentages, and anyone owning or controlling 25% or more (for the register of individuals with significant control).

Mandatory every year through the online registry within six months of the financial year end; the government fee is nil. We do not file it at present.

Every Canadian corporation files a T2 return every year even with no profit, electronically. We do not provide this service at present and recommend a Canadian accountant.

Since 1 January 2023 a private corporation keeps an internal register of everyone owning or controlling 25% or more, updated annually and within 15 days of any change; it is not published.

The general federal rate is 15% and Ontario's general rate is 11.5%. A corporation controlled by non-residents is not a Canadian-controlled private corporation (CCPC), so it generally cannot use the small business rate. We explain your position before you start; please seek tax advice for your circumstances.

You remain a small supplier up to CAD 30,000 of taxable sales (in a quarter or over the last four quarters); registration is required after that and possible voluntarily before.

No. We incorporate Ontario corporations for non-residents; neither the director nor the shareholder has to live in Canada.

No, incorporation is fully online. Opening a Canadian bank account is the bank's decision, may carry extra requirements for non-residents, and we do not offer account opening for Canadian companies at present.

Yes, a numbered company (such as 1234567 Ontario Inc.) needs no NUANS report, and a name can be added later by an official amendment with a government fee.
